These Terms of Use ("Terms") govern access to and use of clickvaultnest.pro (the "Site") operated by Clickvault Nest Pte. Ltd. ("we", "us", "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptance and updates

We may revise these Terms from time to time to reflect changes in law, technology, or our practices. The "Last updated" date at the top of this page indicates the current version. Material changes will be posted on this page. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms for website-related matters. We encourage you to review this page periodically.

2. Purpose of the Site

The Site provides information about Clickvault Nest, our marketing and communications disciplines, working methods, studio team, and contact details. It is an informational and presentational website. It does not offer e-commerce, user registration, interactive forms, or automated contracting.

Nothing on the Site constitutes a binding offer to provide professional services. Studio engagements are subject to separate written agreements. Descriptions of disciplines, sequences, and engagement formats are illustrative of how we typically work and may vary by project.

3. Studio engagements

Professional services commissioned from Clickvault Nest are governed by proposals, engagement letters, statements of work, and associated schedules—not by these Terms alone. If there is any conflict between these Terms and a signed engagement document relating to a specific project, the signed engagement document prevails for that project.

Confidentiality, intellectual property ownership, revision rounds, approval processes, and limitation of liability for paid work are addressed in engagement documents tailored to each assignment.

4. Intellectual property

4.1 Site content

Text, typography, layout, graphics, photographs, code, and overall design of the Site are owned by Clickvault Nest Pte. Ltd. or used under licence. You may view pages and print copies for personal, non-commercial reference related to evaluating our studio.

You may not reproduce, distribute, modify, publicly display, create derivative works from, or commercially exploit Site content without our prior written consent, except where permitted by applicable law (such as fair dealing for research or review in Singapore).

4.2 Client work

Intellectual property in client deliverables is addressed in engagement agreements. Portfolio or case references on the Site appear only with client permission. Unauthorised use of client materials is prohibited.

4.3 Feedback

If you send unsolicited ideas or suggestions about our services or Site, you grant us a non-exclusive, royalty-free licence to use them without obligation to you, unless a separate written agreement states otherwise.

5. Acceptable use

You agree to use the Site lawfully and in good faith. You must not:

• Use the Site for any unlawful purpose or in violation of applicable regulations
• Attempt to gain unauthorised access to our systems, servers, or networks
• Introduce viruses, malicious code, or other harmful material
• Scrape, harvest, or extract content or data by automated means without our permission
• Interfere with the operation of the Site or impose unreasonable load on infrastructure
• Misrepresent your affiliation with Clickvault Nest or impersonate our personnel
• Use the Site to transmit spam, phishing, or deceptive communications

We may restrict or suspend access where we reasonably believe these Terms have been violated or where necessary to protect the Site, our users, or our business.

6. Third-party links and embeds

The Site may link to external websites or embed third-party content—notably Google Maps when you accept functional cookies. We do not control third-party sites or services and are not responsible for their content, availability, privacy practices, or terms. Links to external resources do not imply endorsement unless explicitly stated on the Site.

7. Disclaimer of warranties

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by Singapore law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not warrant that information on the Site is complete, current, or free from typographical errors, though we aim to maintain accuracy.

Content describes our marketing and communications methods and studio practice in general terms. It does not constitute legal, financial, regulatory, or professional advice. Outcomes from marketing and communications work depend on factors outside our control, including market conditions, product quality, competitive activity, media costs, and your internal approval processes. We do not promise specific results from reading Site content or from engaging us.

8. Limitation of liability

To the fullest extent permitted by the laws of Singapore, Clickvault Nest Pte. Ltd. and its directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of—or inability to use—the Site, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising solely from Site use (distinct from a signed studio engagement) shall be limited to the minimum extent permitted by applicable law. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by Singapore law, including liability for death or personal injury caused by negligence or for fraud.

9. Indemnity

You agree to indemnify and hold harmless Clickvault Nest Pte. Ltd. from and against claims, losses, damages, liabilities, and reasonable legal costs arising from your violation of these Terms, your misuse of the Site, or your infringement of any third-party rights in connection with your use of the Site.

10. Privacy and cookies

Our collection and use of personal data is described in the Privacy Policy. Cookie usage and consent mechanisms are described on the Cookies page. By using the Site, you acknowledge those documents for website-related processing.

11. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict-of-law principles that would apply another jurisdiction's laws.

You agree that the courts of Singapore shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or in connection with these Terms or the Site, subject to any mandatory consumer protections that may apply to you under the laws of your country of residence if you are accessing the Site from outside Singapore.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent as closely as possible.

13. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Clickvault Nest Pte. Ltd.

14. Entire agreement (Site use)

These Terms, together with the Privacy Policy, Cookies page, and Legal imprint, constitute the entire agreement between you and Clickvault Nest Pte. Ltd. regarding use of the Site. They supersede prior oral or written understandings about Site use. They do not replace signed engagement documents for professional services.
